Mesh – Terms of Service

(Applicable to Alberta and Canadian users)

1. Introduction

Welcome to Mesh (“we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of our services, including advisory, operations support, dashboard development, digital deliverables, and any related tools, platforms, or client portals (collectively, the “Services”).

By using our Services, you agree to these Terms. If you do not agree, you may not use the Services.

Mesh operates in Alberta, Canada, and these Terms comply with applicable Alberta and Canadian laws, including consumer protection, privacy, and electronic commerce standards.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old

  • Have the authority to enter into binding agreements on behalf of yourself or your organization

  • Use the Services in compliance with all applicable laws in Alberta and Canada

 

3. Scope of Services

Mesh provides:

  • Fractional operations support

  • Strategic advisory

  • Dashboard and workflow development

  • Client portal setup and maintenance

  • Digital tools, templates, and documentation

  • Project-based and retainer-based services

We may update or modify the Services at any time. Material changes will be communicated to active clients.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and timely information

  • Maintain access to required systems or data

  • Use the Services for lawful purposes

  • Not misuse, reverse engineer, or resell any Mesh materials without permission

 

5. Fees, Billing & Payment

  • Fees are outlined in your proposal, agreement, or invoice.

  • Payments are due according to the schedule provided.

  • Late payments may result in paused services.

  • All fees are in CAD unless otherwise stated.

  • Applicable taxes (GST/HST) will be added as required by Canadian law.

 

6. Intellectual Property

 

Client Materials

You retain ownership of all data, content, and materials you provide to Mesh.

 

Mesh Materials

Mesh retains ownership of:

  • Templates

  • Frameworks

  • Dashboards

  • Processes

  • Documentation

  • Proprietary tools

 

Unless otherwise agreed in writing, Mesh grants you a non-exclusive, non-transferable license to use deliverables for your internal business purposes.

 

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of the agreement.

Confidentiality obligations do not apply to information that is:

  • Already public

  • Independently developed

  • Required to be disclosed by law

 

8. Privacy & Data Protection

 

Mesh complies with applicable Canadian privacy laws, including:

  • Personal Information Protection Act (PIPA – Alberta)

  • Personal Information Protection and Electronic Documents Act (PIPEDA – Canada)

 

We collect, use, and store personal information only as necessary to provide the Services. Clients are responsible for ensuring they have the right to share any personal data with Mesh.

 

9. Third‑Party Tools & Integrations

 

Mesh may use third‑party platforms (e.g., Airtable, Notion, Google Workspace, Microsoft services). We are not responsible for:

  • Third‑party outages

  • Data loss caused by third‑party systems

  • Changes to third‑party pricing or features

 

Your use of third‑party tools is governed by their respective terms.

 

10. Service Availability

 

We strive to provide reliable Services but do not guarantee uninterrupted access. We are not liable for delays or failures caused by:

  • Internet issues

  • Third‑party outages

  • Events outside our reasonable control

 

11. Limitation of Liability

 

To the fullest extent permitted by Alberta and Canadian law:

  • Mesh is not liable for indirect, incidental, or consequential damages.

  • Mesh’s total liability is limited to the amount paid by the client in the three months preceding the claim.

Nothing in these Terms limits rights that cannot be waived under Canadian law.

 

12. Termination

 

Either party may terminate the Services with written notice according to the terms of the proposal or agreement.

Upon termination:

  • Outstanding fees remain payable

  • Access to dashboards or portals may be revoked

  • Clients may request a data export within 30 days

 

13. Dispute Resolution

 

Disputes will first be addressed through good‑faith negotiation.

If unresolved, disputes will be governed by the laws of Alberta, Canada, and handled in Alberta courts.

14. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated to active clients.

Continued use of the Services constitutes acceptance of updated Terms.
