What goes in a data room?

Not an exhaustive list. But it will help get you started.
  • Here's a list of some of the key documents you should have in your Corporate Folder:

    - Incorporation docs.

    - Fully diluted cap table.

    - Agreements.

    - IP Ownership.

    - Founder and key employee agreements.

    - Vesting schedules.

    - Employee stock options. 

  • Your financial folder should contain the following at a minimum:

    - Historic financials - unaudited if under $1M.

    - Burn rate.

    - Major expenses.

    - Key financial metrics.

    - Payroll. 

    - Growth model.

    - Pro-forma financial statements with assumptions.

    - Pricing & unit economics.

    - Show you have economic repeatability. 

    - Go to Market plan with a detailed ICP.

    - Sales Playbook

    - OTE for reps and book pricing.

    - Conversion by Stage (ie MQL to SQL to Opp).

    - Current sales pipeline.

    -Unpaying customers / users / pilots.  Letters of intent, waiting list. 

    - Customer Interviews

    - SAM TAM SOM

  • Your Team Folder should contain the following:

    - Founders (credentials, projects, connection to the project)

    - Advisors, investors, accelerators.

    - Development Team and/or Lead

    - Payroll, ESOP & Bonus Liabilities.

  • Product & Tech Folder should have the following:

    - Architecture & Roadmap

    - IP. Provisional, recommended, etc.

    - Usage Reporting / Re-orders.

    - Usage by Customer

    - Churn & Churn Reports

  • This folder should have the following:

    - Updated Deck.

    - Appendix Slides

    - Proposed Funding Round

    - Use of Funds

    - FAQ

    - Investment Memo if any.

A Data Room is evidence of what you told investors in your pitch.
